Senior Corporate Counsel
NETGEAR, Inc. (NASDQGM: NTGR) is seeking a highly motivated, experienced and licensed attorney to join the NETGEAR team in its San Jose headquarters. This individual will be the fourth attorney in the legal department, report directly to the General Counsel, and will have significant and wide ranging responsibilities and opportunities for career advancement. The individual will primarily be responsible for drafting and negotiating complex technology licensing and commercial contracts of all shapes and sizes, with significant exposure to all functional areas.

•Support all business units and functional areas in all geographies, reviewing, drafting, structuring and negotiating contracts of all types, including inbound and outbound software and patent licensing agreements, master purchase and supply agreements, OEM and ODM agreements, distributor and reseller agreements, indemnification agreements, services and consulting agreements, IT agreements, etc.
•Respond to legal requests and queries from individuals in all areas and all levels within the organization on a worldwide basis, and proactively recognize and address potential legal issues as they arise.
•Continuously improve standard form agreements and legal processes.
•Provide practical, business-oriented and actionable advice in terms non-lawyers can understand.
•Undertake special projects as required to support new business initiatives and technology development programs and advise internal clients accordingly from both a legal and business perspective.
Required Experience and Skills:
•Member of the California bar with 5-8 years of large law firm and/or in-house experience.
•Law degree from top law school; undergraduate degree in engineering a plus.
•Experience in the drafting and negotiation of commercial agreements for technology companies.
•Ability to evaluate issues from legal and business perspectives with a practical, business-oriented, common sense approach to problem solving.
•Ability to manage and drive issues and projects cross-functionally.
•Must have basic knowledge of adjacent subject areas such as revenue recognition, antitrust, bankruptcy, data privacy and security, export controls, open source, etc., plus willingness and ability to learn and become company subject matter expert in those areas.
•Exceptional interpersonal skills and verbal and written communication skills, including the ability to sift through complicated issues and communicate only the important aspects in a clear and concise manner at all levels within the organization and across geographic lines.
•Must be comfortable and adept at balancing risk and opportunity, and thinking creatively to enable the business to make smart decisions.
•Must be stubborn and persistent, be outgoing, enjoy the negotiation process, and be a staunch advocate for the business, while being laid back and down to earth with internal team.
•Must stay calm under pressure and be prepared to maintain professionalism and manage multiple projects and priorities efficiently in a fast-paced environment.
•Must demonstrate passionate commitment to responsively servicing the needs of the other employees of NETGEAR who are the “customers” of the legal department.
•Flexibility, adaptability, ability to work outside of own comfort zone.
•Must be able to work well with others.
•Ability to work with a great deal of autonomy required; candidate must be willing to roll up sleeves and do their own grunt work – no admins in the company and no prima donnas either.
•Excellent attention to detail and judgment.
•Sense of humor and ability to not take him or herself too seriously.
